By using SailWP you agree to these terms. They describe what we provide, what you owe us, and what neither side can be held to. Plain summary first, full detail below.
SailWP is a WordPress theme + plugin + cloud dashboard with an AI co-pilot. We charge €19/month or €190/year for Pro. You can cancel anytime; no refunds for partial periods.
The AI is a tool — you check what it produces before publishing. We don't promise the service will be perfect or always available. Our liability is capped at what you paid us in the last 12 months, with a minimum of €100, and we exclude indirect damages to the maximum extent allowed by law.
Dutch law governs. Disputes go to the competent court in the Netherlands, except where consumer law gives you a different right.
These Terms of Service form a binding agreement between:
If you act on behalf of a legal entity, you represent that you are authorised to bind it to these terms. The terms enter into force the moment you install the plugin/theme, create an account, or pay for a subscription — whichever happens first.
Once SailWP transfers operations to a holding/BV (in formation), all rights and obligations under these Terms will be assigned to that entity per Art. 6:159 BW (Dutch Civil Code). We will notify you by email; you may object within 30 days of notice and terminate with prorated refund of any unused prepaid period.
SailWP provides:
The Service is provided as Software-as-a-Service. We may add, change, or remove features at our discretion. We will give 30 days' prior written notice for changes that materially reduce functionality of an active paid subscription.
You sign in with email-based magic links. You are responsible for:
One natural person, one account. Sharing credentials between multiple people is not permitted. Workspaces with multiple members must invite each member individually.
Payments are processed by Stripe. Stripe Tax automatically calculates and adds applicable VAT/sales tax based on your billing address. EU/UK B2B customers can supply a VAT number for reverse-charge handling. Card details and full billing addresses are held by Stripe; we never see them.
Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date. We will email a notice 7 days before annual renewals at the price then in effect.
For active subscriptions, we will give at least 30 days' notice of any price increase by email and on this page. Increases apply at your next renewal. If you do not accept the new price, you may cancel before the renewal takes effect.
If a renewal payment fails, we will retry over 14 days. If the payment still fails, the subscription downgrades to Free and Pro features become unavailable. Stored content remains accessible.
Cancel anytime via the Stripe billing portal (Settings → Billing in app.sailwp.com), or by emailing [email protected]. Cancellation takes effect at the end of the current billing period. Pro features remain active until then.
We do not refund unused portions of a billing period. We may, at our discretion, issue a goodwill refund in cases of clear service failure or accidental double-billing.
If you are a consumer in the EU or UK, you have a statutory 14-day right of withdrawal under Article 6:230o of the Dutch Civil Code (implementing Directive 2011/83/EU).
After cancellation, the email tied to your account remains for 30 days so you can reactivate. After 30 days, account data is deleted or anonymised per the Privacy Policy. Stripe billing records are retained for 7 years per Dutch tax law.

We may suspend or terminate your account immediately and without refund for material breach of this section.
The AI features of SailWP are powered by third-party models (Anthropic Claude, Google Nano Banana Pro, others). Their output:
Restored page versions: when you "restore" a previous page version, the AI does not verify whether the restoration is appropriate. You are responsible for the result.
You retain all rights to the content on your WordPress site, including content edited or generated with help from the AI. You grant us a non-exclusive, worldwide, royalty-free license to process your content solely as needed to deliver the Service. We claim no ownership.
The SailWP theme is licensed under GPL v2+. Your use, modification, and redistribution of the theme are governed by that license. The SailWP plugin, the Cloud Dashboard, the AI proxy, prompts, and infrastructure are proprietary to 31 Ventures. We grant you a limited, non-exclusive, non-transferable license to use them as long as your subscription is active and you comply with these Terms.
"SailWP" and the SailWP icon are unregistered trademarks of 31 Ventures. You may use the name and icon to identify your use of the Service in a factual, non-confusing way. You may not use them to imply endorsement or sponsorship.
If you send us suggestions, ideas, or feedback, you grant us an unlimited, irrevocable, royalty-free license to use them for any purpose without obligation to you.
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without any express or implied warranty, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, error-free operation, or uninterrupted availability.
We do not warrant:
Mandatory consumer rights under Dutch and EU law (e.g. Boek 7 BW, Directive 2019/770/EU on digital content) are not affected by this disclaimer.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service — whether based on contract, tort (including negligence), strict liability, or any other theory — is limited to the greater of:

If you are a consumer (a natural person acting outside trade, business, or profession) and the limitations above are unenforceable against you under your local mandatory consumer law, those limitations apply only to the extent permitted by such law. The other provisions of this section remain in effect.
To the extent permitted by law, you will defend, indemnify, and hold harmless SailWP, 31 Ventures, and their owner, employees, contractors, and successors from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
This obligation does not apply to claims arising solely from our gross negligence or wilful misconduct.
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to: outages or failures of Anthropic, Stripe, Resend, Cloudflare, mijn.host, or any other third-party provider; acts of God; war or armed conflict; cyber-attacks (including DDoS); pandemics; government action; strikes; internet, telecommunications, or power failures; or supply-chain disruptions.
If a force-majeure event continues for more than 30 consecutive days and prevents core service delivery, either party may terminate the affected subscription with prorated refund of any unused prepaid period.
Cancel as described in Section 5. No notice period required.
We may suspend or terminate your access immediately without prior notice if:
We may terminate the Service for any user, or discontinue the Service entirely, with 60 days' written notice. In that case, we will refund any unused prepaid subscription period on a pro-rata basis.
Upon termination, your right to use the Service ends. We will retain or delete your data per the Privacy Policy. Sections that by their nature should survive termination (including IP, liability, indemnification, governing law, and miscellaneous) survive.
We may modify these Terms at any time. For material changes, we will notify active subscribers by email at least 30 days before the change takes effect. The latest version is always at sailwp.com/legal/terms.html and includes the date below.
Continued use after the effective date constitutes acceptance. If you do not accept the changes, you may cancel before the effective date and request a prorated refund of any unused prepaid period.
These Terms are governed by the laws of the Netherlands, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods.
Any dispute arising out of or relating to these Terms or the Service that cannot be resolved by good-faith negotiation will be submitted to the exclusive jurisdiction of the competent court in Rotterdam, the Netherlands, except where mandatory consumer-jurisdiction rules give a consumer the right to bring proceedings in their country of residence (Art. 17–19 Brussels I Recast Regulation).
These Terms, the Privacy Policy, the DPA (where applicable), and any order form together constitute the entire agreement between you and SailWP regarding the Service. They supersede any prior agreements or understandings.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. The invalid provision will be replaced by a valid one that most closely matches the original intent.
Our failure to enforce any right or provision is not a waiver of that right or provision.
You may not assign these Terms without our prior written consent. We may assign these Terms to a successor entity (including the BV in formation) or in connection with a merger, acquisition, or sale of substantially all our assets, with notice to you. If you do not consent, you may terminate within 30 days of notice and receive a prorated refund.

These Terms are written in English. If translated, the English version controls in case of conflict.
